Terms of Service

1. Acceptance of Terms

By accessing or using IdeaLift ("the Service"), operated by Startvest LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

IdeaLift is an idea capture and product roadmap service that connects messaging platforms (Discord, Slack, Microsoft Teams), issue trackers (Jira), and project management tools (GitHub, Linear). The Service includes:

• Emoji reaction-based idea capture from chat
• Slash command-based conversation summarization
• AI-powered idea extraction and categorization
• Integration with GitHub Issues, Linear, and Jira
• Bidirectional status sync with Jira
• Web dashboard for managing captured ideas

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service
• Upload malicious code or content
• Violate the terms of service of connected platforms (Discord, Slack, Teams, GitHub, Linear)
• Use the Service to spam or harass others

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Startvest LLC and are protected by international copyright, trademark, and other intellectual property laws. Your content remains yours; by using the Service, you grant us a license to process and store your content as necessary to provide the Service.

6. Third-Party Integrations

The Service integrates with third-party platforms including Discord, Slack, Microsoft Teams, GitHub, and Linear. Your use of these integrations is subject to the respective terms of service of each platform. We are not responsible for the availability or functionality of these third-party services.

7. Subscription and Billing

Some features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods.

8. AI-Generated Code and Autofix Features

Certain features of the Service, including but not limited to the QA Autofix add-on and AI test case generation ("AI Code Features"), use artificial intelligence to generate, suggest, or modify source code. By using these features, you acknowledge and agree that:

• All AI-generated code changes are suggestions only, not verified or guaranteed fixes. The Service creates pull requests or branches for your review — it does not deploy code directly to production environments.
• AI-generated code may contain errors, introduce new bugs, create security vulnerabilities, cause data loss, or have other unintended consequences. The verification performed by the Service (re-running the originally failing test) confirms only that the specific failing test now passes. It does not guarantee that the fix has not introduced regressions or other issues.
• You are solely responsible for reviewing, testing, and merging any AI-generated code changes. By merging an AI-generated pull request into your codebase, you accept full responsibility for the resulting code and any consequences of deploying it.
• If you enable the optional auto-merge feature, you accept additional risk. Auto-merge will automatically merge AI-generated pull requests when the originally failing test passes. This bypasses manual human review. You acknowledge that enabling auto-merge increases the risk of unreviewed code changes entering your codebase and accept full responsibility for any consequences.
• Startvest LLC is not liable for any damages, losses, security incidents, data loss, service outages, or other consequences arising from AI-generated code changes, whether merged manually or via auto-merge, including but not limited to production outages, security vulnerabilities, data corruption, or regulatory non-compliance.

THE AI CODE FEATURES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE. USE OF THESE FEATURES IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTVEST LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. THIS LIMITATION APPLIES WITHOUT LIMITATION TO DAMAGES ARISING FROM AI-GENERATED CODE SUGGESTIONS, AUTOMATED CODE CHANGES, OR ANY OTHER OUTPUT OF THE SERVICE'S ARTIFICIAL INTELLIGENCE FEATURES.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
